• You agree to maintain the confidentiality of your User Name and Password and to notify Global Shares in the event your User Name and Password are lost or stolen, or you become aware of an unauthorized use or transfer of your User Name and Password. Cargill will not be financially responsible for any costs or damages to you caused by the loss, theft or the unauthorized use or transfer of your User Name and Password, unless such loss, theft or unauthorized use is directly and proximately caused by our negligence, bad faith or willful misconduct.

• You agree to review any statement, confirmation, report or other document we may send to you relating to your equity awards and/or stock information within ten calendar days of receipt and to notify us within that ten day period whether such document[s] is incorrect or incomplete. Your failure to notify Global Shares or Cargill within such ten day period will result in a waiver by you to assert any claim against us based on such document[s].

• You agree and acknowledge that the majority, if not all, of the notices related to your participation as an equity participant and/or ownership of Cargill Stock will be made by Cargill via email.  You agree to maintain a current email address with Global Shares and any change in the email address must be communicated to Global Shares.

• You agree to receive all notices given by Cargill under any provision of the Delaware General Corporation Law, the Certificate of Incorporation or Bylaws, or related to your participation in the equity and/or stock programs of Cargill via email, including but not limited to the following electronic notices, as applicable: exercise/RSU confirmations, stock redemptions, notice of issuance of shares, stock transfers, proxy voting.

• You agree to indemnify and hold Global Shares and Cargill harmless for any tax, penalties, interest, claims, expenses (including legal fees), or any other costs or losses that you may incur caused by or related to the use of or reliance upon in any manner, information or statements contained or reflected on this Site..

• You agree to indemnify and hold Global Shares and Cargill harmless for any claims, losses or expenses (including legal fees) it incurs as a result of your failure to comply with these terms and conditions or for any unauthorized use of this Site. You also agree that under no circumstances will Global Shares or Cargill be responsible for consequential, incidental, special or punitive damages (even if such damages could reasonably be foreseen), or for any loss caused by events not within our control. Global Shares has taken reasonable steps to provide a secure environment for your personal information on the Site. However, given the fact that the Internet is a public network, not controlled by either Global Shares or Cargill, Global Shares cannot guarantee the confidentiality or security of such information.
